End User License Agreement

This is a legally binding license agreement (the “License Agreement”). Please read it carefully. By clicking “I Agree” or installing or using the Weather by Tomorrow App and any updates to such App (collectively, the “App”) provided by The Tomorrow Companies Inc. (“Tomorrow.io” or “we”) you agree to be bound by the terms of this License Agreement.
1. General Terms
1.1. App License. Subject to the terms herein, Tomorrow.io hereby grants you a limited, personal, non-exclusive, non-transferable, non sub-licensable right to install and use the App solely on the device to which you have downloaded the App (the “Device”) and only for the purpose of receiving weather updates based on your location. You shall be solely responsible to ensure that the App is properly installed and used.
1.2. Prohibited Uses. Other than the rights explicitly granted in this Agreement, you shall have no other rights, express or implied, in the App. Without limiting the generality of the foregoing, you agree and undertake not to, and not to allow any third party to: (i) sell, lease, sublicense or distribute the App, or any part thereof, or otherwise transfer the App; (ii) reverse engineer, decompile, disassemble, or otherwise reduce to human-perceivable form the App’s source code and/or any third party software provided by Tomorrow.io; (iii) modify, revise, enhance, or alter the App; (iv) copy or allow copies of the App to be made, unless expressly permitted herein; (v) represent that you possess any proprietary interest in the App; (vi) use the App in any illegal manner or for unlawful purposes.
1.3. Title & Ownership. The App is the property of Tomorrow.io or its licensors and any disclosure or unauthorized use thereof will cause irreparable harm and loss to Tomorrow.io or its licensors. All right, title and interest in and to the App, any derivatives thereof and modifications thereto, including associated intellectual property rights, evidenced by or embodied in or attached, connected or related to the App, are and will remain with Tomorrow.io or its licensors. This License Agreement does not convey to you any interest in or to the App, but only a limited right of use in accordance with the terms herein. Nothing in this License Agreement constitutes a waiver of Tomorrow.io’s or its licensors’ intellectual property rights under any law.
1.4. Third Party Software. The App may include third party component, which are made available pursuant to different terms than those contained herein. Please see the open source notice located at www.tomorrow.io/legal for additional notices required by our licensors.
1.5. Privacy. Tomorrow.io respects the privacy of its users. Please refer to our Consumer App Privacy Policy located at www.tomorrow.io/legal which explains how we collect, use, and disclose information that pertains to your privacy.
1.6 Pre-commercial Software Releases. If the App provided to You under this Agreement is designated by Tomorrow.io as a pre-commercial release (indicated by terms such as “early access,” “alpha,” “beta,” “trial,” “draft”, “evaluation” or “labs”) (referred to herein as “EA App”) then in lieu of the licenses granted to You above, but subject to any other executed agreement that You may have for the EA App which grants additional or different rights or imposes additional or different restrictions, You shall only have the right under this Agreement to download and install the EA App on a reasonable number of workstations for the internal and non-commercial evaluation of the App. You acknowledge that the EA App is a prerelease or experimental version and is not at the level of performance and compatibility of a final product. The EA App may not operate correctly and may be substantially modified prior to first commercial release, or may be withdrawn completely. You will not use the EA App for any production or operational purposes, and any such use which You undertake is at Your sole risk, with the understanding that the EA App may never be issued for commercial use. You shall not commercialize, distribute, publicly perform or publicly display any material produced by You using the EA App or any component thereof. If You desire other rights (such as the right to develop commercial products using the EA App) You must use a commercial release of the EA App. The use license granted in this section expires when the EA App is made available under full commercial terms which You accept or upon notice to You by Tomorrow.io, whichever is earlier.
2. Registration and User Account
2.1. Account Registration. You must be registered in order to use the App, by filling in the required information in the form in which we indicate the mandatory fields for completion. If you do not provide the required information in these fields, you will not be able to register. You must provide true, accurate and complete information.
2.2. Authentication. Login is authenticated with a password, which you should periodically change. You must maintain the confidentiality of your account login details for your account. You are solely responsible for the security of your login credentials and will not provide such login credentials to any third party. You are responsible for any use that occurs under your login credentials. If you believe an unauthorized person has gained access to your login credentials, you will notify us as soon as possible.
3. Payments; Subscriptions
3.1. Payments. Tomorrow.io may offer the opportunity to purchase access to certain features of the App by means of one-time or recurring payments (“Subscription”) through an authorized Marketplace Provider. These payments require you to have an active account with a Marketplace Provider and provide a then-current and valid method of payment, such as a credit card or debit card (a “Payment Method”). Payments will be processed by your respective Marketplace Provider and not through Tomorrow.io. Any inquiries related to payments should be directed to your Marketplace Provider. You are responsible for all charges incurred in connection with your payments.
3.2. Subscriptions. By selecting a Subscription, you agree to pay the Marketplace Provider a subscription fee on a designated cycle for the App (the “Subscription Fee”). The first Subscription Fee will be charged to your Payment Method on the date the Marketplace Provider confirms your Subscription purchase. Thereafter, the Subscription Fee and any applicable tax and service fees will be charged to your Payment Method by your Marketplace Provider on a recurring basis in accordance with your designated cycle.
4. Restrictions
4.1. Except as relevant law may otherwise require to be permitted, you may not modify, make derivative works of, disassemble, de-compile or reverse engineer any part of the Service or Tomorrow.io Technology, or otherwise attempt to discover its underlying code, structure, implementation or algorithms.
4.2. There may be certain restrictions, including usage limitations, set forth in the Order, including, without limitation, restrictions on the number of function calls that may be placed using the APIs. You will abide by all such restrictions. You will not install or use the Tomorrow.io Technology for any purpose other than as expressly permitted under this Agreement.
4.3. You may not use the Service or Tomorrow.io Technology in order to develop, or create, or permit others to develop or create, a product or service similar or competitive to the Service or Tomorrow.io Technology.
4.4. Except as expressly permitted under Section 3(4) (to the extent applicable to you), you may not offer the Service or Tomorrow.io Technology to third parties, including by reselling, licensing, renting, leasing, transferring, lending, timesharing, assigning or redistributing the Service, Tomorrow.io Technology or any part thereof.
4.5. You will not use the APIs in connection with any products, services or materials that constitute, promote or are used primarily for the purpose of dealing in: libelous, defamatory, obscene, pornographic, abusive or otherwise illegal or offensive content; spyware, adware, or other malicious code; counterfeit goods; items subject to US embargo; unsolicited mass distribution of email or multi-level marketing proposals; hate materials; hacking/surveillance/interception/descrambling equipment; or stolen products or items used for theft. Without limiting the foregoing, you will not use the APIs for any illegal purpose.
4.6. You may not perform or attempt to perform any of the following in connection with the Service or Tomorrow.io Technology:
4.6.1. Breaching the security of the Service or Tomorrow.io Technology, or identifying, probing or scanning any security vulnerabilities in the Service or Tomorrow.io Technology,
4.6.2. Accessing data not intended for you, or accessing an account you are not authorized to access;
4.6.3. Interfering with, circumventing, manipulating, overloading, impairing or disrupting the operation, or the functionality of the Service or Tomorrow.io Technology;
4.6.4. Working around any technical limitations in the Service or Tomorrow.io Technology;
4.6.5. Using any tool to enable features or functionalities that are otherwise disabled, inaccessible or undocumented in the Service or Tomorrow.io Technology;
4.6.6. Collecting or processing information or data about the Company’s customers;
4.6.7. Sending any virus, worm, Trojan horse or other malicious or harmful code or attachment; or
4.6.8. Using robots, crawlers and similar applications to scrape, harvest, collect or compile content from or through the Service or Tomorrow.io Technology.
4.7. You will only use the Service and Tomorrow.io Technology in compliance with all applicable laws, rules and regulations, and you represent and warrant that Your Data does not and will not violate any third party rights or any applicable laws. If you execute an Order that indicates you will receive access to the APIs for commercial use, you further represent, warrant and covenant that you will not make any representation or warranty concerning the quality, performance or other characteristics of the Service.
4.8. You will not store or otherwise collect or copy the unaltered Datafeed, unless otherwise expressly provided for in the Order. If the Order provides for storing the Datafeed, you may only store the Datafeed for the duration of the Term of the applicable Order and conditioned upon your timely payment of applicable Fees, as provided in the Order.
4.9. You will not, and will not allow or assist third parties to, publish, distribute or disclose the results of any benchmark tests performed on the Tomorrow.io Technology or otherwise use any testing results related to the Tomorrow.io Technology for your marketing purposes, or for development of competing technology.
4.10. YOU MAY NOT USE THE SERVICE OR TOMORROW.IO TECHNOLOGY FOR ANY ACTIVITY THAT CONSTITUTES, OR ENCOURAGES CONDUCT THAT WOULD CONSTITUTE, A CRIMINAL OFFENSE, GIVE RISE TO CIVIL LIABILITY OR OTHERWISE VIOLATE ANY APPLICABLE LAW.
4.11. WE MAY EMPLOY MEASURES TO DETECT AND PREVENT FRAUDULENT OR ABUSIVE USE OF THE SERVICE, AS WELL AS MISUSE OF THE SERVICE AND TOMORROW.IO TECHNOLOGY. WE MAY SUSPEND OR TERMINATE YOUR ACCOUNT ON AND ACCESS TO THE SERVICE AND TOMORROW.IO TECHNOLOGY, WITHOUT PRIOR NOTICE, IF WE, IN OUR SOLE DISCRETION, BELIEVE THAT YOU HAVE ENGAGED IN FRAUDULENT OR ABUSIVE USE, OR MISUSE, OF THE SERVICE OR TOMORROW.IO TECHNOLOGY.
5. Warranty Disclaimer
5.1. Performance. We do not guarantee that the App will operate in an uninterrupted or error-free manner, or that it will always be available, free from errors, omissions or malfunctions. Without limiting the foregoing, in no event will Tomorrow.io be responsible for any slow-downs, failures or other malfunctions that are caused by your breach of this Agreement.
5.2. Assumption of Liability. You are solely and exclusively responsible: (i) for all actions you take in response to your usage of the App; (ii) to check for any alerts or warnings issued by the App and determine what actions are appropriate in light thereof; and (iii) to carry out such actions as you deem appropriate as a result of your usage of the App. We are not responsible or liable for your reliance upon, or use of, the App, your actions in connection with the App, or any consequences resulting therefrom.
5.3. ALTHOUGH WE USE SKILL AND EFFORTS TO DEVELOP THE APP AND HAVE THE APP PROVIDE ACCURATE, RELIABLE, EFFECTIVE AND ACTIONABLE DATA, WE DO NOT GUARANTEE, MAKE NO REPRESENTATION, AND PROVIDE NO WARRANTY ABOUT THE RELIABILITY, EFFECTIVENESS, ACCURACY OR COMPLETENESS OF THE APP, THE EXPECTED RESULTS, OUTCOMES OR ANY OTHER OPERATIONAL BENEFITS FROM UTILIZING THE APP.
5.4. THE APP IS PROVIDED ON AN “AS IS” BASIS, WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOMORROW.IO AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. YOUR ONLY RIGHT OR REMEDY WITH RESPECT TO THE APP IS TO IMMEDIATELY UNINSTALL THE APP AND CEASE USE OF THE APP. TOMORROW.IO DOES NOT REPRESENT OR WARRANT THAT THE APP WILL OPERATE CONTINUOUSLY, UNINTERRUPTED, OR BE ERROR FREE.
5.5. TOMORROW.IO SHALL IN NO WAY BE LIABLE TO YOU IN THE EVENT OF SYSTEMS OR COMMUNICATIONS ERRORS, BUGS OR VIRUSES RELATING TO THE APP OR RESULTING IN LOSS OF DATA BY YOU OR ANY OTHER DAMAGE TO YOUR DEVICE OR YOUR ABILITY TO USE IT, AND TOMORROW.IO RESERVES THE RIGHT TO TAKE ANY OTHER ACTION TO CORRECT SUCH ERRORS (IF ANY) SAVE THAT TOMORROW.IO IS NOT REQUIRED TO PROVIDE ANY BACK UP NETWORK OR SYSTEMS OR SIMILAR SERVICES.
5.6. You the user assume the entire risk related to use of information provided by the app. Tomorrow.io provides such information “as is,” and disclaims any and all warranties, whether express or implied, including (without limitation) any implied warranties of merchantability or fitness for a particular purpose. In no event will Tomorrow.io be liable to you or to any third party for any direct, indirect, incidental, consequential, special or exemplary damages or lost profit resulting from any use or misuse of this data.
6. Limitation of Liability
IN NO EVENT SHALL TOMORROW.IO HAVE ANY LIABILITY TO YOU UNDER, ARISING OUT OF OR RELATING TO THIS AGREEMENT. IN NO EVENT WILL TOMORROW.IO BE LIABLE FOR LOST PROFITS, LOSS OF USE, LOSS OF DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, WHETHER OR NOT TOMORROW.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Indemnification
7.1. You agree to indemnify and hold harmless us and our directors, officers, employees, and contractors, upon our request and at your own expense, from, and against, any damages, loss, costs, expenses and payments, including reasonable attorney’s fees and legal expenses, arising from any complaint, claim, plea, or demand brought by a third party in connection with, arising from or otherwise related to (a) your breach of this Agreement or (b) your gross negligence or willful misconduct.
7.2. If we seek indemnification from you, we will provide you with (i) prompt written notice of any indemnifiable claim; (ii) reasonable assistance and cooperation in the defense of such indemnifiable claim and any related settlement negotiations, at your expense; and (iii) exclusive control over the defense or settlement of such indemnifiable claim, provided, however, that we may settle or reach compromise on any such claim without your consent, if and to the extent such settlement or compromise does not impose any liability (monetary, criminal or otherwise) on you. We will have the right to participate, our own expense, in the defense (and related settlement negotiations) of any indemnifiable claim with counsel of our own selection.
8. Term and Termination
Tomorrow.io may terminate this License Agreement at any time without cause without any requirement of notice. Upon any such termination or expiration, you shall no longer be permitted to use the App, and shall delete all copies of the App in your possession.
9. Export Control
You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, but without limitation, the App may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the App, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use the App for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
10. Governing Law; Venue
This License Agreement is exclusively governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, excluding its rules of conflict of laws. Any dispute, controversy or claim which may arise out of or in connection with this License Agreement, shall be submitted to the sole and exclusive jurisdiction of the competent courts in Boston, Massachusetts. Subject to the following sentence, each party hereto hereby expressly consent to the exclusive personal jurisdiction and venue of such courts, and waive any objections related thereto including objections on the grounds of improper venue, lack of personal jurisdiction or forum non conveniens. Notwithstanding the foregoing, we may also lodge a claim against you: (a) pursuant to the indemnity clause above, in any court adjudicating a third party claim against us; and (b) for interim, emergency or injunctive relief in any other court having general jurisdiction over you.
11. General
This Agreement constitutes the entire agreement between the parties. Tomorrow.io may modify the terms of this License Agreement by making the updated version of this License Agreement available through the App, without requiring any further notice to you. If a court of competent jurisdiction finds any provision of this Agreement to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of the Agreement shall continue in full force and effect. You shall not assign this Agreement without Tomorrow.io’s prior written approval, and any such purported assignment shall be null void. No waiver of any breach shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provision, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party. Sections 1.2, 1.3, 1.4, 5, 6, 9 and 10 shall survive the termination of this Agreement.

(“Tomorrow.io” oder “wir”) erklären Sie sich damit einverstanden, an die Bedingungen dieser Lizenzvereinbarung gebunden zu sein und alle Updates, die von Zeit zu Zeit veröffentlicht oder benachrichtigt werden oder sich in nachfolgenden Versionen widerspiegeln.
1. Allgemeine Geschäftsbedingungen
1.1. App-Lizenz. Vorbehaltlich der hierin enthaltenen Bestimmungen gewährt Tomorrow.io Ihnen hiermit ein begrenztes, persönliches, nicht ausschließliches, nicht übertragbares, nicht unterlizenzierbares Recht, die App ausschließlich auf dem Gerät zu installieren und zu verwenden, auf dem Sie die App heruntergeladen haben (das “Gerät”), und nur zum Zwecke des Empfangens von Wetterinformationen basierend auf Ihrem Standort. Sie sind allein dafür verantwortlich, dass die App ordnungsgemäß installiert und verwendet wird.
1.2. Verbotene Nutzung. Abgesehen von den in dieser Vereinbarung ausdrücklich gewährten Rechten haben Sie keine weiteren ausdrücklichen oder stillschweigenden Rechte in der App. Ohne die Allgemeingültigkeit des Vorstehenden einzuschränken, erklären Sie sich damit einverstanden und verpflichten sich, dies nicht zu tun und Dritten nicht zu gestatten: (i) die App oder einen Teil davon zu verkaufen, zu vermieten, unterzulizenzieren oder zu verteilen oder anderweitig die App zu übertragen; (ii) zurückzuentwickeln, zu dekompilieren, zu disassemblieren oder anderweitig auf menschen-verständliche Weise aus dem Quellcode der App und/oder einer von Tomorrow.io bereitgestellten Software Dritter zu reduzieren; (iii) die App zu modifizieren, zu überarbeiten, zu erweitern oder zu ändern; (iv) Kopien der App zu erstellen oder zu erlauben, es sei denn, dies ist ausdrücklich hierin erlaubt; (v) zu erklären, dass Sie ein eigentumsrechtliches Interesse an der App haben; (vi) die App in irgendeiner illegalen Weise oder für illegale Zwecke verwenden. Tomorrow.io trifft alle diesbezüglichen Feststellungen.
1.3. Eigentum & Besitz. Die App ist Eigentum von Tomorrow.io oder seinen Lizenzgebern und jede Offenlegung oder unbefugte Nutzung derselben wird Tomorrow.io oder seinen Lizenzgebern irreparablen Schaden und Verlust zufügen. Alle Rechte, Titel und Interessen an und an der App, alle Derivate davon und Änderungen daran, einschließlich der damit verbundenen Rechte an geistigem Eigentum, die durch die App bescheinigt oder in ihr verankert, verbunden oder mit ihr verbunden sind, sind und bleiben bei Tomorrow.io oder seinen Lizenzgebern. Diese Lizenzvereinbarung überträgt Ihnen kein Interesse an oder an der App, sondern nur ein eingeschränktes Nutzungsrecht in Übereinstimmung mit den vorliegenden Bedingungen. Nichts in dieser Lizenzvereinbarung stellt einen Verzicht auf die geistigen Eigentumsrechte von Tomorrow.io oder seinen Lizenzgebern nach irgendeinem Gesetz dar.
1.4. Software von Drittanbietern. Die App kann Komponenten von Drittanbietern enthalten, die gemäß anderen Bedingungen als den hierin enthaltenen zur Verfügung gestellt werden. Bitte beachten Sie den Open-Source-Hinweis unter www.tomorrow.io/legal für weitere Hinweise, die von unseren Lizenzgebern verlangt werden.
1.5. Datenschutz. Bitte beachten Sie unsere Datenschutzerklärung für Verbraucheranwendungen unter www.tomorrow.io/legal die erklärt, wie wir Informationen über Ihre Privatsphäre sammeln, verwenden und weitergeben.
2. Registrierung und Benutzerkonto
2.1. Konto-Registrierung. Sie müssen registriert sein, um die App nutzen zu können, indem Sie die erforderlichen Informationen in dem Formular ausfüllen, in dem wir die Pflichtfelder zum Ausfüllen angeben. Wenn Sie die erforderlichen Angaben in diesen Feldern nicht machen, können Sie sich nicht registrieren. Sie müssen wahre, genaue und vollständige Informationen angeben.
2.2. Authentifizierung. Die Anmeldung wird mit einem Passwort authentifiziert, das Sie regelmäßig ändern sollten. Sie müssen die Vertraulichkeit Ihrer Zugangsdaten für Ihr Konto wahren. Sie sind allein verantwortlich für die Sicherheit Ihrer Anmeldeinformationen und werden diese nicht an Dritte weitergeben. Sie sind für jede Nutzung verantwortlich, die unter Ihren Zugangsdaten erfolgt. Wenn Sie glauben, dass eine unbefugte Person Zugang zu Ihren Zugangsdaten erhalten hat, werden Sie uns so schnell wie möglich informieren.
3. Zahlungen; Abonnements
3.1. Zahlungen. Tomorrow.io kann die Möglichkeit bieten, den Zugang zu bestimmten Funktionen der App durch einmalige oder wiederkehrende Zahlungen (“Abonnement”) über einen autorisierten Marktplatzanbieter zu erwerben. Für diese Zahlungen benötigen Sie ein aktives Konto bei einem Marktplatzanbieter und eine dann aktuelle und gültige Zahlungsmethode, wie z.B. eine Kredit- oder Debitkarte (eine “Zahlungsmethode”). Zahlungen werden von Ihrem jeweiligen Marktplatzanbieter und nicht über Tomorrow.io abgewickelt. Alle Anfragen im Zusammenhang mit Zahlungen sollten an Ihren Marktplatzanbieter gerichtet werden. Sie sind für alle Kosten verantwortlich, die im Zusammenhang mit Ihren Zahlungen anfallen.
3.2. Abonnements. Mit der Auswahl eines Abonnements erklären Sie sich damit einverstanden, dem Marktplatzanbieter eine Abonnementgebühr für einen bestimmten Zyklus für die App zu zahlen (die “Abonnementgebühr”). Die erste Abonnementgebühr wird Ihrer Zahlungsmethode an dem Tag belastet, an dem der Marktplatzanbieter Ihren Abonnementkauf bestätigt. Danach werden die Abonnementgebühr und alle anfallenden Steuer- und Servicegebühren von Ihrem Marktplatzanbieter wiederkehrend gemäß Ihrem festgelegten Zyklus Ihrer Zahlungsmethode belastet.
4. Gewährleistungsausschluss
4.1. Leistung. Wir garantieren nicht, dass die App ununterbrochen oder fehlerfrei funktioniert oder dass sie immer verfügbar ist, frei von Fehlern, Auslassungen oder Fehlfunktionen. Ohne Einschränkung des Vorstehenden ist Tomorrow.io in keinem Fall für Verzögerungen, Ausfälle oder andere Störungen verantwortlich, die durch Ihren Verstoß gegen diese Vereinbarung verursacht werden.
4.2. Übernahme der Haftung. Sie sind allein und ausschließlich verantwortlich: (i) für alle Maßnahmen, die Sie als Reaktion auf Ihre Nutzung der App ergreifen; (ii) um nach Warnmeldungen oder Warnungen der App zu suchen und festzustellen, welche Maßnahmen im Hinblick auf diese angemessen sind; und (iii) um solche Maßnahmen durchzuführen, die Sie als Ergebnis Ihrer Nutzung der App für angemessen halten. Wir sind nicht verantwortlich oder haftbar für Ihr Vertrauen in die App oder deren Nutzung, Ihre Handlungen im Zusammenhang mit der App oder die daraus resultierenden Folgen.
4.3. OBWOHL WIR BEI DER ENTWICKLUNG DER APP FÄHIGKEITEN UND ANSTRENGUNGEN EINSETZEN UND DIE APP GENAUE, ZUVERLÄSSIGE, EFFEKTIVE UND VERWERTBARE DATEN BEREITSTELLT, GARANTIEREN WIR NICHT, MACHEN KEINE ZUSICHERUNGEN UND GEBEN KEINE GARANTIE ÜBER DIE ZUVERLÄSSIGKEIT, EFFEKTIVITÄT, GENAUIGKEIT ODER VOLLSTÄNDIGKEIT DER APP, DIE ERWARTETEN ERGEBNISSE ODER ANDERE BETRIEBLICHE VORTEILE DURCH DIE NUTZUNG DER APP.
4.4. DIE APP WIRD AUF EINER “AS IS”-BASIS BEREITGESTELLT, OHNE JEGLICHE GARANTIE. SOWEIT DIES NACH GELTENDEM RECHT ZULÄSSIG IST, LEHNEN TOMORROW.IO UND SEINE LIZENZGEBER ALLE GARANTIEN AB, EINSCHLIESSLICH ALLER STILLSCHWEIGENDEN GARANTIEN DER MARKTGÄNGIGKEIT, DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK UND DER NICHTVERLETZUNG VON RECHTEN. IHR EINZIGES RECHT ODER RECHTSMITTEL IN BEZUG AUF EINE UNZUFRIEDENHEIT MIT DER APP IST ES, DIE APP SOFORT ZU DEINSTALLIEREN UND DIE NUTZUNG DER APP EINZUSTELLEN. TOMORROW.IO ÜBERNIMMT KEINE GARANTIE DAFÜR, DASS DIE APP KONTINUIERLICH, UNUNTERBROCHEN ODER FEHLERFREI FUNKTIONIERT.
4.5. TOMORROW.IO HAFTET IHNEN GEGENÜBER IN KEINER WEISE IM FALLE VON SYSTEM- ODER KOMMUNIKATIONSFEHLERN, FEHLERN ODER VIREN IM ZUSAMMENHANG MIT DER APP, DIE ZU DATENVERLUST DURCH SIE ODER ANDEREN SCHÄDEN AN IHREM GERÄT ODER IHRER FÄHIGKEIT, ES ZU VERWENDEN, FÜHREN, UND TOMORROW.IO BEHÄLT SICH DAS RECHT VOR, ALLE ANDEREN MASSNAHMEN ZUR BEHEBUNG SOLCHER FEHLER (FALLS VORHANDEN) ZU ERGREIFEN, ES SEI DENN, TOMORROW.IO IST NICHT VERPFLICHTET, EIN BACKUP-NETZWERK ODER -SYSTEME ODER ÄHNLICHE DIENSTE BEREITZUSTELLEN.
4.6. Sie als Nutzer tragen das gesamte Risiko in Bezug auf die Nutzung der von der App bereitgestellten Informationen. Tomorrow.io stellt solche Informationen auf einer „as is“-Basis zur Verfügung und lehnt jegliche Gewährleistung ab, sei sie ausdrücklich oder stillschweigend erfolgt, einschließlich (und ohne Einschränkung) aller besagten Gewährleistungen für die Handelsfähigkeit oder Eignung für einen bestimmten Zweck. In keinem Fall haftet Tomorrow.io Ihnen oder Dritten gegenüber für direkte, indirekte, zufällige, folgende, besondere oder beispielhafte Schäden oder entgangenen Gewinn, der aus der Verwendung oder dem Missbrauch dieser Daten resultiert.
5. Haftungsbeschränkung
IN KEINEM FALL ÜBERNIMMT TOMORROW.IO EINE HAFTUNG IHNEN GEGENÜBER UNTER, AUS ODER IM ZUSAMMENHANG MIT DIESER VEREINBARUNG. IN KEINEM FALL HAFTET TOMORROW.IO FÜR ENTGANGENEN GEWINN, NUTZUNGSAUSFALL, DATENVERLUST, KOSTEN FÜR DIE BESCHAFFUNG VON ERSATZGÜTERN ODER -DIENSTLEISTUNGEN ODER ANDERE SPEZIELLE, ZUFÄLLIGE, INDIREKTE ODER FOLGESCHÄDEN, WIE AUCH IMMER VERURSACHT, UND FÜR JEGLICHE HAFTUNGSTHEORIE, SEI ES FÜR VERTRAGSBRUCH, UNERLAUBTE HANDLUNG (EINSCHLIESSLICH FAHRLÄSSIGKEIT UND VERSCHULDENSUNABHÄNGIGE HAFTUNG) ODER ANDERWEITIG, UNABHÄNGIG DAVON, OB TOMORROW.IO ÜBER DIE MÖGLICHKEIT SOLCHER SCHÄDEN INFORMIERT WURDE ODER NICHT.
6. Entschädigung
6.1. Sie erklären sich damit einverstanden, uns und unsere Direktoren, leitenden Angestellten, Mitarbeiter und Auftragnehmer auf unseren Wunsch und auf eigene Kosten von Schäden, Verlusten, Kosten, Ausgaben und Zahlungen, einschließlich angemessener Anwaltskosten und Rechtskosten, freizustellen und schadlos zu halten, die sich aus einer Beschwerde, einem Anspruch, einem Einwand oder einer Forderung ergeben, die von einem Dritten im Zusammenhang mit, aufgrund oder in anderer Weise im Zusammenhang mit (a) Ihrer Verletzung dieser Vereinbarung oder (b) Ihrer groben Fahrlässigkeit oder Ihrem vorsätzlichen Fehlverhalten erhoben wird.
6.2. Wenn wir von Ihnen eine Entschädigung verlangen, werden wir Ihnen (i) unverzüglich eine schriftliche Mitteilung über eine entschädigungsfähige Forderung zukommen lassen; (ii) angemessene Unterstützung und Zusammenarbeit bei der Verteidigung einer solchen entschädigungsfähigen Forderung und damit zusammenhängender Vergleichsverhandlungen auf Ihre Kosten; und (iii) ausschließliche Kontrolle über die Verteidigung oder Beilegung einer solchen entschädigungsfähigen Forderung, vorausgesetzt jedoch, dass wir ohne Ihre Zustimmung eine Einigung oder einen Kompromiss über eine solche Forderung erzielen können, wenn und soweit eine solche Einigung oder ein Kompromiss Ihnen keine Haftung (finanziell, strafrechtlich oder anderweitig) auferlegt. Wir sind berechtigt, auf eigene Kosten an der Verteidigung (und den damit verbundenen Vergleichsverhandlungen) jeder entschädigungspflichtigen Forderung mit einem von uns gewählten Anwalt teilzunehmen.
7. Laufzeit und Kündigung
Tomorrow.io kann diese Lizenzvereinbarung jederzeit und ohne Angabe von Gründen ohne Vorankündigung kündigen. Nach einer solchen Kündigung oder einem solchen Ablauf ist es Ihnen nicht mehr gestattet, die App zu nutzen, und Sie müssen alle in Ihrem Besitz befindlichen Kopien der App löschen. Tomorrow.io kann jedoch von Zeit zu Zeit „lebenslange“ Abonnements anbieten, die nur gekündigt werden können, wenn Sie gegen diese Lizenzvereinbarung verstoßen; bei Kontrollwechsel von Tomorrow.io, Verkauf im Wesentlichen aller seiner Vermögenswerte oder seines Eigenkapitals oder Fusion, Übernahme oder ähnlicher Transaktion; oder nach alleinigem Ermessen von Tomorrow.io beginnend zwei (2) Jahre nach der Aktivierung.
8. Exportkontrolle
Sie dürfen die App nicht verwenden oder anderweitig exportieren oder reexportieren, es sei denn, dies ist durch das Recht der Vereinigten Staaten und die Gesetze der Gerichtsbarkeit, in der die App erworben wurde, genehmigt. Insbesondere darf die App nicht exportiert oder reexportiert werden (a) in ein Land, das unter Embargo der USA ausgeschlossen ist, oder (b) an Personen, die auf der Specially Designated Nationals List des U.S. Finanzministeriums oder der Denied Persons List oder Entity List des U.S. Department of Commerce stehen. Durch die Nutzung der App erklären und garantieren Sie, dass Sie sich nicht in einem solchen Land oder auf einer solchen Liste befinden. Sie stimmen auch zu, dass Sie die App nicht für Zwecke verwenden werden, die nach US-amerikanischem Recht verboten sind, einschließlich, aber nicht beschränkt auf die Entwicklung, Konstruktion, Herstellung oder Produktion von Atom-, Raketen- oder chemischen oder biologischen Waffen.
9. Anwendbares Recht; Gerichtsstand
Diese Lizenzvereinbarung unterliegt ausschließlich den Gesetzen des Commonwealth of Massachusetts und wird in Übereinstimmung mit diesen ausgelegt, mit Ausnahme seiner Kollisionsregeln. Alle Streitigkeiten, Kontroversen oder Ansprüche, die sich aus oder im Zusammenhang mit diesem Lizenzvertrag ergeben können, unterliegen der ausschließlichen Zuständigkeit der zuständigen Gerichte in Boston, Massachusetts. Vorbehaltlich des folgenden Satzes stimmt jede Partei hiermit ausdrücklich der ausschließlichen persönlichen Gerichtsbarkeit und dem ausschließlichen Gerichtsstand solcher Gerichte zu und verzichtet auf alle damit zusammenhängenden Einwände, einschließlich der Einwände wegen unzulässiger Gerichtsbarkeit, mangelnder persönlicher Gerichtsbarkeit oder forum non conveniens. Ungeachtet des Vorstehenden können wir auch eine Forderung gegen Sie geltend machen: (a) gemäß der oben genannten Entschädigungsklausel vor jedem Gericht, das über eine Klage eines Dritten gegen uns urteilt; und (b) zur einstweiligen Verfügung bei einem anderen Gericht, das für Sie allgemein zuständig ist.
10. Allgemeines
Diese Vereinbarung stellt die gesamte Vereinbarung zwischen den Parteien dar. Tomorrow.io kann die Bedingungen dieses Lizenzvertrags ändern, indem es die aktualisierte Version dieses Lizenzvertrags über die App zur Verfügung stellt, ohne dass es einer weiteren Benachrichtigung an Sie bedarf. Stellt ein zuständiges Gericht fest, dass eine Bestimmung dieser Vereinbarung nicht durchsetzbar ist, so wird diese Bestimmung im maximal zulässigen Umfang durchgesetzt, um die Absicht der Parteien zu beeinträchtigen, und der Rest der Vereinbarung bleibt in vollem Umfang in Kraft und Wirkung. Sie dürfen diese Vereinbarung nicht ohne die vorherige schriftliche Zustimmung von Tomorrow.io abtreten, und eine solche angebliche Abtretung ist nichtig. Kein Verzicht auf einen Verstoß stellt einen Verzicht auf einen vorherigen, gleichzeitigen oder nachfolgenden Verstoß gegen dieselbe oder eine andere Bestimmung dar, und kein Verzicht ist wirksam, es sei denn, er wird schriftlich erklärt und von einem autorisierten Vertreter der verzichtenden Partei unterzeichnet. Die Abschnitte 1.2, 1.3, 1.4, 5, 6, 9 und 10 (oder andere Abschnitte, die natürlich überleben sollten) gelten auch nach Beendigung dieser Vereinbarung.

Ceci est un contrat de licence juridiquement contraignant (ci-après le “Contrat de Licence”). Veuillez le lire attentivement. En cliquant sur “J’accepte” ou en installant ou en utilisant l’application Tomorrow.io App et toutes les mises à jour de cette Application, (collectivement dénommées “l’Application”) fournies par The Tomorrow Companies Inc. (“Tomorrow.io” ou “Nous”) vous acceptez d’être lié par les termes du présent Contrat de Licence et toutes les mises à jour publiées ou alertées de temps à autre ou reflétées dans les versions ultérieures.
1. Termes Généraux
1.1. Licence d’Application. Sous réserve des présentes conditions, Tomorrow.io vous accorde par la présente, un droit limité, personnel, non exclusif, non transférable, ne pouvant faire l’objet d’une sous-licence, d’installer et d’utiliser l’Application et ce, uniquement sur l’appareil sur lequel vous avez téléchargé l’Application (ci-après, “L’Appareil”) et dans le seul but de recevoir les mises à jour concernant la météo en fonction de votre position. Vous êtes le seul responsable de vous assurer que l’Application est correctement installée et utilisée.
1.2. Utilisations interdites. A l’exception des droits explicitement accordés dans le présent Contrat, vous ne disposez d’aucun autre droit, explicite ou implicite sur l’Application. Sans limiter la portée générale de ce qui précède, vous acceptez et vous engagez à ne pas, ni vous ni permettre à des tiers de: (i) vendre, louer, concéder une sous-licence ou distribuer l’Application, en tout ou partie, ou transférer l’Application de quelque manière que ce soit ; (ii) retro-ingénierie, décompilation, désassemblage, ou d’une autre action rendant humainement compréhensible le code source de l’Application et/ou des logiciels tiers fournis par Tomorrow.io; (iii) modifier, réviser, améliorer, ou altérer l’Application; (iv) copier ou autoriser la réalisation de copies de l’Application, sauf autorisation expresse de la présente; (v) prétendre à un quelconque droit de propriété dans l’Application; (vi) utiliser l’Application de manière illégale ou à des fins illégales.
1.3. Titre et Propriété. L’Application est la propriété de Tomorrow.io ou de ses concédants de licence et toute divulgation ou utilisation non-autorisée de celle-ci entrainera un préjudice irréparable à Tomorrow.io ou à ses concédants de licence. Tout droit, titre et intérêt relatif à l’Application, à leurs dérivés et à leurs modifications, y compris les droits de propriété intellectuels associés, attestés, contenus ou attachés, liés ou en rapport à l’Application, sont et demeureront la propriété de Tomorrow.io ou de ses concédants de Licence. Le présent Contrat de Licence ne vous confère aucun intérêt dans l’Application, mais uniquement un droit d’utilisation limité, conformément aux termes énoncés par la présente. Aucun élément dans le présent Contrat de Licence ne saurait constituer une renonciation de la part de Tomorrow.io ou de ses concédants de licence concernant ses droits de propriété intellectuelle en vertu d’aucune loi.
1.4. Logiciels tiers. L’Application peut inclure un composant issu de tiers, qui a été mis à disposition selon des termes différents de ceux contenus dans le présent accord. 1.5. Vie privée. Veuillez vous reporter à notre politique de confidentialité des utilisateurs à l’adresse : www.tomorrow.io/legal qui explique comment nous recueillons, utilisons et divulguons les informations relatives à votre vie privée.
2. Inscription et Compte Utilisateur
2.1. Création d’un Compte. Vous devez vous inscrire afin d’utiliser l’Application, en remplissant les champs d’informations indiqués comme obligatoires dans le formulaire. Si vous ne fournissez pas les informations requises dans les champs obligatoires, vous ne pourrez pas vous inscrire. Vous devez fournir des informations exactes, précises et complètes.
2.2. Authentification. La connexion est authentifiée par un mot de passe, que vous devez changer régulièrement. Vous devez préserver la confidentialité des informations de connexion de votre compte. Vous êtes seul responsable de la sécurité de vos identifiants de connexion et ne les communiquerez pas à des tiers. Vous êtes responsable de toute utilisation faite sous vos identifiants de connexion. Si vous pensez qu’une personne non-autorisée a eu accès à vos identifiants de connexion, vous êtes tenus de nous en informer sans délai.
3. Paiements; Abonnements
3.1. Paiements. Tomorrow.io peut proposer la possibilité d’acheter l’accès à certaines fonctionnalités de l’Application par le biais de paiements uniques ou récurrents (ci-après “Abonnement”) par l’intermédiaire d’une plateforme officielle d’achats d’Application. Pour effectuer ces paiements vous devez avoir un compte actif auprès d’une plateforme officielle d’achats d’applications et fournir un moyen de paiement valide et à jour, tel qu’une carte de crédit ou de débit (ci-après “le Mode de Paiement”). Les paiements seront effectués sur la plateforme d’achat d’applications et non par Tomorrow.io. Toute demande de renseignements relative aux paiements devra être adressée à votre plateforme d’achats d’applications. Vous êtes responsables de tous les frais liés à vos paiements.
3.2. Inscription. En vous inscrivant, vous consentez à payer à la plateforme d’achats d’application des frais d’inscription selon à une fréquence désignée pour l’utilisation de l’Application (ci-après les “Frais d’Abonnement”). Le premier paiement pour les Frais d’Abonnement sera débité sur votre moyen de paiement à la date d’achat de l’abonnement confirmée par la plateforme d’achats. Par la suite, les Frais d’Abonnement et toute autre taxe applicable et les frais de services seront débités sur votre moyen de Paiement par la plateforme d’achats à la fréquence que vous aurez définie.
4. Déclaration de Garantie
4.1. Performance. Nous ne garantissons pas que l’Application fonctionnera de manière ininterrompue et sans erreur, ni qu’elle sera toujours disponible, exempte d’erreurs, d’omissions ou de dysfonctionnements. Sans limiter ce qui précède, Tomorrow.io ne saurait en aucun cas être tenue responsable pour tout ralentissement, défaillance ou autre dysfonctionnement causés une violation de votre part du présent Contrat.
4.2. Présomption de Responsabilité. Vous êtes exclusivement et seul responsable de: (i) toute les actions résultant de votre utilisation de l’Application; (ii) vérifier toute alerte ou avertissement émis par l’Application et déterminer les actions appropriées pour cette utilisation; and (iii) mener à bien lesdites actions pour l’utilisation de l’Application. Nous ne sommes et ne pouvons être tenus responsables de la confiance que vous fondez sur et dans l’utilisation de l’Application, de vos actions concernant l’Application, ou des conséquences qui en résulteraient.
4.3. BIEN QUE NOUS UTILISIONS LES COMPETENCES ET EFFORTS NECESSAIRES POUR DEVELOPPER L’APPLICATION ET QUE CELLE-CI FOURNISSE DES DONNEES PRECISES, FIABLES, VERITABLES ET EXPLOITABLES, NOUS NE GARANTISSONS, NE POUVONS ASSURER, ET NE FOURNISSONS AUCUNE GARANTIE CONCERNANT LA FIABILITE, LA REALITE, L’EXACTITUDE NI L’EXHAUSTIVITE DE L’APPLICATION, DES RESULTATS ATTENDUS, DES CONSEQUENCES OU DE TOUS AUTRES AVANTAGES OPERATIONNELS RESULTANT DE L’UTILISATION DE L’APPLICATION.
4.4. L’ APPLICATION EST FOURNIE EN L’ETAT, “AS IS”, SANS AUCUNE GARANTIE. DANS LA MESURE DU POSSIBLE ET CONFORMEMENT AUX LOIS APPLICABLES, TOMORROW.IO ET SES CONCEDANTS DE LICENCE DECLINENT TOUTE GARANTIE, Y COMPRIS TOUTE GARANTIE IMPLICITE DE POTENTIEL COMMERCIAL, ADEQUATION A UN USAGE PARTICULIER, ET DE PROTECTION CONTRE TOUTE VIOLATION. VOTRE SEUL DROIT OU RECOURS CONCERNANT TOUT MECONTENTEMENT CONCERNANT L’APPLICATION EST DE DESINSINSTALLER IMMEDIATEMENT L’APPLICATION ET DE CESSER SON UTILISATION. TOMORROW.IO N’ASSURE PAS NI NE GARANTIT QUE L’APPLICATION FONCTIONNERA DE MANIERE CONTINUE, ININTERROMPUE, ET SANS ERREUR.
4.5. TOMORROW.IO NE SAURAIT EN AUCUN CAS ETRE TENUE RESPONSABLE ENVERS VOUS DANS LE CAS D’UNE ERREUR SYSTEME OU DE COMMUNICATION, DE BUGS OU DE VIRUS EN RAPPORT AVEC L’APPLICATION OU TOUT AUTRE DOMMAGE AYANT ENTRAINE POUR VOUS UNE PERTE DE DONNEES OU ENDOMMAGE VOTRE APPAREIL OU VOTRE CAPACITE A L’UTILISER; EN OUTRE, TOMORROW.IO SE RESERVE LE DROIT D’ENTREPRENDRE TOUTE AUTRE ACTION AFIN DE CORRIGER DE TELLES ERREURS (LE CAS ECHEANT) SACHEZ TOUTEFOIS QUE TOMORROW.IO N’EST PAS TENUE DE FOURNIR UN QUELCONQUE RESEAU OU SYSTEME DE SAUVEGARDE OU SERVICES SIMILAIRES.
4.6. L’UTILISATEUR ASSUMERA L’INTÉGRALITÉ DES RISQUES LIÉS À L’UTILISATION DES INFORMATIONS FOURNIES PAR L’APPLICATION. TOMORROW.IO FOURNIT CES INFORMATIONS « EN L’ÉTAT » ET EXCLUT TOUTE GARANTIE, EXPRESSE OU IMPLICITE, Y COMPRIS (SANS LIMITATION) TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE OU D’ADÉQUATION À UN USAGE PARTICULIER. TOMORROW.IO NE SAURAIT EN AUCUN CAS ÊTRE TENUE RESPONSABLE ENVERS VOUS OU ENVERS TOUT TIERS S’AGISSANT DE TOUT DOMMAGE DIRECT, INDIRECT, ACCESSOIRE, CONSÉCUTIF, SPÉCIAL, DE DOMMAGES-INTÉRÊTS EXEMPLAIRES OU D’UNE PERTE DE PROFITS DÉCOULANT DE TOUTE UTILISATION OU MAUVAISE UTILISATION DE CES DONNÉES.
5. Limitation de responsabilité
TOMORROW.IO NE SAURAIT ENDOSSER AUCUNE RESPONSABILITE A VOTRE EGARD CONCERNANT CE QUI SUIT, DECOULANT OU LIE AU PRESENT ACCORD. EN AUCUN CAS TOMORROW.IO NE SAURAIT ETRE TENUE RESPONSABLE D’UNE PERTE DE PROFITS, PERTE D’USAGE, PERTE DE DONNEES, PERTE D’ACCES, DU COÛT D’ACHATS DE BIENS OU SERVICES DE REMPLACEMENT, OU TOUT AUTRE DOMMAGE SPECIAL, ACCESSOIRE, INDIRECT, OU CONSECUTIF, CAUSE DE QUELQUE MANIERE, ET SUR TOUTE AUTRE THEORIE DE LA RESPONSABILITE, QUE CE SOIT POUR LA VIOLATION DE CONTRAT, ACTION FONDEE SUR LA RESPONSABILITE DELICTUELLE (Y COMPRIS EN CAS DE NEGLIGENCE ET DE RESPONSABILITE OBJECTIVE), OU AUTRE, QUE TOMORROW.IO AIT ETE AVERTIE OU NON DE LA POSSIBILITE DE TELS DOMMAGES.
6. Indemnités
6.1. Vous consentez à indemniser et de ne pas nous tenir responsable ni nos dirigeants, directeurs, employés, et sous-traitants, à notre demande, et à vos frais, de, et contre tout dommage, perte, coût, dépense et paiement, y compris les honoraires d’avocat raisonnables et frais juridiques, issus d’une quelconque plainte, revendication, requête ou demande intentée par une tierce partie en rapport, résultant ou reliée à : (a) une violation de votre part du présent Contrat ou (b) votre grave négligence ou votre faute intentionnelle.
6.2. Si nous recherchons une indemnisation de votre part, nous vous fournirons : (i) une courte notification écrite de toute réclamation pouvant donner lieu à une indemnisation ; (ii) une aide et coopération raisonnables pour la défense concernant telle réclamation indemnisable ainsi que toute négociation en vue d’un règlement, à vos frais; (iii) le contrôle exclusif concernant la défense d’une telle réclamation ou toute négociation en vue d’un accord, à condition toutefois, que nous parvenions à régler ou trouvions un compromis sur une telle réclamation sans votre consentement, si et dans le cas où un accord ou un compromis ne vous fait pas porter une quelconque responsabilité (financière, pénale ou autre). Nous aurons le droit de participer, à nos frais, à la défense (et pourparlers de négociation s’y rapportant) de toute demande indemnisable en étant représentés par un avocat choisi par nos soins.
7. Terme and Résiliation
Tomorrow.io peut mettre fin au présent Contrat de Licence à tout moment, sans justification ni préavis. En cas de résiliation ou d’expiration, vous ne serez plus autorisé à utiliser l’Application, et devrez effacer toutes les copies de l’Application que vous possédez. Cependant, Tomorrow.io peut de temps à autre proposer des abonnements « à vie », qui ne peuvent être résiliés que si vous enfreignez le présent Contrat de licence ; en cas de changement de contrôle de Tomorrow.io, de la vente de la quasi-totalité de ses actifs ou de ses capitaux propres, ou d’une fusion, acquisition ou opération similaire ; ou à la seule discrétion de Tomorrow.io à compter de deux (2) ans après l’activation.
8. Contrôle des exportations
Vous n’êtes pas autorisé à utiliser ni exporter ou réexporter l’Application sauf dans les cas autorisés par la législation des Etats-Unis et les lois du pays dans lequel l’Application a été obtenue. En particulier, sans toutefois s’y limiter, l’Application ne sera pas exportée ou réexportée (a) dans des pays sous embargo américain ou (b) toute personne se trouvant sur la liste des personnes spécialement désignées par le Département du Trésor américain ou sur la liste des personnes physiques ou morales interdites du Département du Commerce. En utilisant l’Application, vous déclarez et garantissez ne pas vous trouver dans un tel pays ou une telle liste. Vous déclarez que vous n’utiliserez pas l’Application à des fins interdites par la législation des Etats-Unis, notamment, sans toutefois s’y limiter, pour le développement, la conception, la fabrication et/ou la production of d’armes nucléaires, missiles, chimiques ou biologiques.
9. Loi applicable; Lieu
Le présent contrat de Licence est exclusivement régi et soumis aux Lois du Commonwealth du Massachusetts, à l’exclusion de ses règles de conflits de Lois. Toute contestation, litige ou revendication qui pourrait résulter du présent Contrat de Licence ou étant en relation avec lui, devra être soumis à la juridiction unique et exclusive des tribunaux compétents de Boston, Massachusetts. Sous réserve de ce qui suit, chaque partie au présent Contrat consent par la même, à l’attribution juridique personnelle et exclusive de ces tribunaux et renonce à toute objection à cet égard, y compris celle qui seraient fondée sur l’absence de compétence territoriale, ou de compétence matérielle ou forum non conveniens. Sans déroger à ce qui précède, nous avons également la possibilité d’engager un recours contre vous : (a) conformément à la clause d’indemnisation susmentionnée, devant tout tribunal statuant sur une réclamation d’un tiers à notre encontre; et (b) pour des mesures provisoires, recours d’urgence ou en injonction, auprès de tout autre tribunal ayant une compétence générale à votre égard.
10. Général
Cet Accord constitue l’intégralité de l’Accord entre les parties. Tomorrow.io peut modifier les termes du présent Contrat de Licence en rendant disponible la version mise à jour de ce Contrat de Licence dans l’Application, sans autre notification. Si un tribunal compétent déclare inapplicable l’une des dispositions du présent Accord, cette disposition s’appliquera dans la mesure permise afin de refléter l’intention des parties, et le reste de l’Accord restera pleinement applicable. Vous n’êtes pas autorisé à céder le présent accord sans le consentement préalable et écrit de Tomorrow.io, et toute cession présumée sera considérée comme étant nulle et non-avenue. Aucune renonciation concernant une violation ne constituera une renonciation d’une violation antérieure, actuelle et future de la disposition ou de toute autre, et aucune renonciation ne sera effective à moins d’avoir été faite par écrit et signée par un représentant autorisé de la partie qui renonce. Les Articles 1.2, 1.3, 1.4, 5, 6, 9 et 10 (et toutes autres sections qui, par leur nature, devraient survivre) s’appliqueront au-delà de la fin du présent Accord.

1. Condiciones generales

1.2. Usos prohibidos. Aparte de los derechos explícitamente concedidos en el presente Acuerdo, usted no tendrá ningún otro derecho, expreso o implícito, sobre la Aplicación. Sin limitar la generalidad de lo anterior, usted acepta y se compromete a no hacer, y a no permitir que ningún tercero
lo haga: (i) vender, arrendar, sublicenciar o distribuir la Aplicación, o cualquier parte de la misma, o transferir de cualquier otra forma la Aplicación; (ii) realizar ingeniería inversa, descompilar, desensamblar o reducir en forma perceptible para el ser humano el código fuente de la Aplicación y/o cualquier software de terceros proporcionado por Tomorrow.io; (iii) modificar, revisar, mejorar o alterar la Aplicación; (iv) copiar o permitir que se hagan copias de la Aplicación, a menos que se consienta expresamente en el presente documento; (v) declarar que usted posee una participación patrimonial sobre la Aplicación; (vi) utilizar la Aplicación de manera ilegal o con fines ilícitos.
1.3. Título y propiedad. La Aplicación es propiedad de Tomorrow.io o de sus licenciatarios y cualquier divulgación o uso no autorizado de la misma causará daños y pérdidas irreparables a Tomorrow.io o a sus licenciatarios. 2. Registro y cuenta de usuario
2.1. Registro de la cuenta. Debe estar registrado para poder utilizar la Aplicación, rellenando la información requerida en el formulario en el que indicamos los campos obligatorios para su cumplimentación. Si no proporciona la información requerida en estos campos, no podrá registrarse. La información que usted proporcione debe ser verdadera, exacta y completa.
2.2. Autenticación. El inicio de sesión se autentica con una contraseña, que debe cambiar periódicamente. Debe mantener la confidencialidad de los datos de acceso a su cuenta. Usted es el único responsable de la seguridad de sus credenciales de inicio de sesión y no proporcionará dichas credenciales a terceros. Usted es responsable de cualquier uso que ocurra bajo sus credenciales de inicio de sesión. Si cree que una persona no autorizada ha obtenido acceso a sus credenciales de inicio de sesión, nos lo notificará lo antes posible.
3. Pagos; Suscripciones
3.1. Pagos. Tomorrow.io puede ofrecer la oportunidad de comprar acceso a ciertas características de la Aplicación mediante pagos únicos o periódicos (“Suscripción”) a través de un Proveedor de Mercado autorizado. Estos pagos requieren que usted tenga una cuenta activa con un Proveedor de Mercado y que proporcione un método de pago válido y vigente en ese momento, como una tarjeta de crédito o de débito (un “Modo de Pago”). Los pagos serán procesados por su respectivo Proveedor de Mercado y no a través de Tomorrow.io. Cualquier pregunta relacionada con los pagos debe dirigirse a su Proveedor de Mercado. Usted es responsable de todos los cargos contraídos en relación con sus pagos.
3.2. Suscripciones. Al seleccionar una Suscripción, usted acepta pagar al Proveedor de Mercado una cuota de suscripción en un ciclo designado para la Aplicación (la “Tarifa de Suscripción”). La primera Tarifa de Suscripción se cargará a su Modo de Pago en la fecha en que el Proveedor de Mercado confirme la compra de su Suscripción. A partir de ese momento, su Proveedor de Mercado cargará a su Modo de Pago la Tarifa de Suscripción y cualquier impuesto o tarifa de servicio aplicable de forma periódica de acuerdo con su ciclo designado.
4. Renuncia a la garantía
4.1. Desempeño. No garantizamos que la aplicación funcionará de forma ininterrumpida o sin errores, o que siempre estará disponible, libre de errores, omisiones o mal funcionamiento. Sin perjuicio de lo anterior, Tomorrow.io no será responsable bajo ninguna circunstancia de las ralentizaciones, fallas u otros fallos causados por su incumplimiento de este Acuerdo.
4.2. Asunción de responsabilidad. Usted es el único y exclusivo responsable: (i) por todas las acciones que emprenda en respuesta a su uso de la Aplicación; (ii) para comprobar si existen alertas o advertencias emitidas por la misma y determinar qué acciones son apropiadas en base a ello; y (iii) para llevar a cabo las acciones que considere apropiadas como resultado de su uso de la Aplicación. No somos responsables ni estamos obligados por su confianza en, o uso de, la Aplicación, ni de sus acciones en relación con la misma, ni de las consecuencias que de ellas se deriven.
4.3. AUNQUE USAMOS NUESTRA CAPACIDAD Y ESFUERZOS PARA DESARROLLAR LA APLICACIÓN Y LOGRAR QUE ÉSTA PROPORCIONE DATOS PRECISOS, CONFIABLES, EFECTIVOS Y PROCESABLES, NO GARANTIZAMOS, NO HACEMOS NINGUNA REPRESENTACIÓN NI GARANTIZAMOS LA CONFIABILIDAD, EFECTIVIDAD, EXACTITUD O INTEGRIDAD DE LA APLICACIÓN, LOS RESULTADOS ESPERADOS, PREVISTOS O CUALQUIER OTRO BENEFICIO OPERATIVO DERIVADO DE LA UTILIZACIÓN DE LA MISMA.
4.4. LA APLICACIÓN SE PROPORCIONA “TAL COMO ESTÁ”, SIN GARANTÍA DE NINGÚN TIPO. EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, TOMORROW.IO Y SUS LICENCIATARIOS RENUNCIAN A TODAS LAS GARANTÍAS, INCLUIDAS LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, IDONEIDAD PARA UN FIN DETERMINADO Y NO INCUMPLIMIENTO. SU ÚNICO DERECHO O REMEDIO CON RESPECTO A CUALQUIER INSATISFACCIÓN CON LA APLICACIÓN ES DESINSTALARLA INMEDIATAMENTE Y DEJAR DE UTILIZARLA. TOMORROW.IO NO DECLARA NI GARANTIZA QUE LA APLICACIÓN FUNCIONARÁ DE MANERA CONTINUA, ININTERRUMPIDA NI QUE ESTÉ LIBRE DE ERRORES.
4.5. TOMORROW.IO NO SERÁ DE NINGUNA MANERA RESPONSABLE ANTE USTED EN CASO DE ERRORES EN LOS SISTEMAS O EN LAS COMUNICACIONES, FALLOS O VIRUS RELACIONADOS CON LA APLICACIÓN O QUE RESULTEN EN LA PÉRDIDA DE DATOS POR SU PARTE O EN CUALQUIER OTRO DAÑO A SU DISPOSITIVO O A SU CAPACIDAD PARA UTILIZARLO, Y TOMORROW.IO SE RESERVA EL DERECHO DE TOMAR CUALQUIER OTRA MEDIDA PARA CORREGIR DICHOS ERRORES (SI LOS HUBIERE), A MENOS QUE TOMORROW.IO NO ESTÉ OBLIGADO A PROPORCIONAR NINGUNA RED DE RESPALDO O SISTEMAS O SERVICIOS SIMILARES.
4.6. Usted, el usuario, asume todo el riesgo relacionado con el uso de la información ofrecida por la aplicación. 5. Limitación de responsabilidad

6. Indemnización
6.1. Usted acepta indemnizarnos y eximirnos de toda responsabilidad a nosotros y a nuestros directores, autoridades, empleados y contratistas, a petición nuestra y a su propio costo, por y contra cualquier daño, pérdida, costo, gastos y pagos, incluidos los honorarios razonables de abogados y gastos legales, que surjan de cualquier queja, reclamo, petición o demanda presentada por un tercero en relación con, o que surja de, o esté relacionada de alguna otra manera con: (a) su incumplimiento de este Acuerdo o (b) su grave negligencia o mala conducta intencional.
6.2. Si buscamos una indemnización de su parte, le proporcionaremos (i) una pronta notificación por escrito de cualquier reclamo indemnizable; (ii) asistencia y cooperación razonables en la defensa de dicho reclamo indemnizable y de cualquier negociación relacionada con el mismo, a su cargo; y (iii) control exclusivo sobre la defensa o resolución de dicho reclamo indemnizable, siempre y cuando podamos llegar a un acuerdo o compromiso con respecto a dicho reclamo sin su consentimiento, siempre que y en la medida en que dicha resolución o compromiso no imponga ninguna responsabilidad (monetaria, penal o de otro tipo) sobre usted. Tendremos el derecho de participar, a nuestro propio costo, en la defensa (y en las negociaciones de acuerdo relacionadas) de cualquier reclamo indemnizable con un abogado de nuestra propia elección.
7. Plazo y Terminación
Tomorrow.io puede rescindir este Acuerdo de Licencia en cualquier momento sin causa y sin necesidad de notificación previa. Tras dicha terminación o expiración, ya no se le permitirá utilizar la Aplicación, y deberá eliminar todas las copias de la misma, que tenga en su poder. Sin embargo, Tomorrow.io puede ofrecer de vez en cuando suscripciones “de por vida”, que solo pueden cancelarse si incumple este Acuerdo de licencia; tras el cambio de control de Tomorrow.io, la venta de sustancialmente todos sus activos o patrimonio, o fusión, adquisición o transacción similar; o a discreción exclusiva de Tomorrow.io a partir de dos (2) años después de la activación.
8. Control de exportaciones
Usted no puede usar ni exportar o reexportar la Aplicación excepto según lo autorizado por las leyes de los Estados Unidos y las leyes de la jurisdicción en la que se obtuvo la misma. En particular, pero sin limitarse a ello, la Aplicación no puede ser exportada o reexportada (a) a ningún país embargado por los EE.UU. o (b) a ninguna persona que figure en la Lista de Nacionales Especialmente Designados del Departamento del Tesoro de los EE.UU. o en la Lista de Personas o Entidades Denegadas del Departamento de Comercio de los EE.UU.. Al utilizar la Aplicación, usted declara y garantiza que no se encuentra en ninguno de estos países ni en ninguna de estas listas. También acepta que no utilizará la Aplicación para ningún fin prohibido por la legislación de los Estados Unidos, incluido, entre otros, el desarrollo, diseño, fabricación o producción de armamento nuclear, misil, o armas químicas o biológicas.
9. Ley aplicable; Lugar del proceso
Este Acuerdo de Licencia se rige e interpreta exclusivamente de acuerdo con las leyes del Estado de Massachusetts, excluyendo sus reglas de conflicto de leyes. Cualquier disputa, controversia o reclamación que pueda surgir de o en relación con este Acuerdo de Licencia, se someterá a la jurisdicción única y exclusiva de los tribunales competentes en Boston, Massachusetts. 10. General
Este Acuerdo constituye el acuerdo completo entre las partes. Tomorrow.io puede modificar los términos de este Acuerdo de Licencia poniendo a su disposición la versión actualizada del mismo a través de la Aplicación, sin necesidad que usted sea notificado. Si un tribunal de jurisdicción competente determina que alguna disposición de este Acuerdo es inaplicable, dicha disposición se hará cumplir en la medida máxima permitida para afectar la intención de las partes, y el resto del Acuerdo continuará en plena vigencia y efecto. Usted no cederá este Acuerdo sin la aprobación previa por escrito de Tomorrow.io, y cualquier pretendida asignación será nula. Ninguna renuncia a cualquier incumplimiento constituirá una renuncia a cualquier incumplimiento previo, presente o subsiguiente de la misma o de cualquier otra disposición, y ninguna renuncia será efectiva a menos que se haga por escrito y esté firmada por un representante autorizado de la parte que renuncia. Las secciones 1.2, 1.3, 1.4, 5, 6, 9 y 10 (et toutes autres sections qui, par leur nature, devraient survivre) perdurarán después de la terminación de este Acuerdo.

1. 一般条項
1.1. アプリのライセンス
本契約に従い、Tomorrow.io はお客様に対し、アプリをダウンロードした端末（以下、端末）における位置情報に応じた天気の情報の更新という目的に限り、限定的、個人的、非独占的、譲渡不能、かつサブライセンス不可能なアプリのインストールおよび使用の権利を供与します。アプリの適切なインストール、使用に関する一切の責任はお客様にあるものとします。
1.2. 禁止事項
本契約に明確に規定されている権利を除き、明示的、黙字的を問わず、お客様はアプリに関するその他一切の権利を持ちません。上記の一般性を制限することなく、お客様は次の禁止事項を遵守し、第三者に対しても遵守させることに同意したものとします。(i)アプリの一部または全体を販売、サブライセンス、配布、その他の方法で譲渡してはならない。(ii) アプリのソースコードまたはTomorrow.ioの提供する第三者のソフトウェア、もしくはその両方を、解析、 逆コンパイル、逆アセンブル、その他人間が認知できるような状態に変更してはならない。(iii)アプリを修正、改定、改造、または訂正してはならない。 (iv)本契約にて明確に許可されている場合を除き、アプリの複製、またはその許可をしてはならない。 (v) アプリの独占的所有権を持つことを表明してはならない。(vi) アプリを違法な方法や目的で使用してはならない。
1.3. 権原と所有権
アプリはTomorrow.ioまたはそのライセンサーの所有物であり、そのいかなる開示や無権限の使用はTomorrow.io またはそのライセンサーの致命的な損失に繋がります。アプリに関する全ての権利、権原および利益、またアプリに関連した知的財産権など、その派生物や修正したものなど、アプリを根拠とする、またはアプリに盛り込まれた、あるいは付随、関連する権利はTomorrow.io またはそのライセンサーが留保するものとします。当ライセンス契約は、お客様へアプリの利権を譲渡するものではなく、本規約に基づいた限定的な利用の権利のみを供与するものです。当ライセンス契約のいかなる規定も、あらゆる法律に規定されるTomorrow.ioまたはそのライセンサーの知的財産権の放棄を意味するものではありません。

2. 登録とユーザーアカウント
2.1. アカウント登録
アプリの使用に際しては、フォームに必要事項を入力し、登録をする必要があります。フォームには入力必須事項が指定されています。これらの情報をご入力いただけない場合は、登録できません。虚偽のない、正確で完全な情報の入力が必要です。
2.2. 認証
ログインの際はパスワードでの認証が行われます。パスワードは定期的な変更が必要となります。アカウントログイン情報の機密性はお客様にて保持するようお願いします。ログイン認証情報のセキュリティに関する一切の責任はお客様にございます。これらの情報を第三者へ開示してはなりません。お客様の認証情報を用いて行われたアプリの利用についてはお客様が責任を追うものとします。お客様のログイン認証情報に不正なアクセスがある疑いが生じた場合は迅速に当社へご連絡ください。
3. 支払い・購読
3.1. 支払い
Tomorrow.ioではアプリの特定の機能の利用に際し、 認証されたマーケットプレイスプロバイダーを通じ、一括または定期支払い（以下「購読」と呼ぶ）でのお支払いが発生することがあります。お支払いにはマーケットプレイスプロバイダーの有効なアカウントと、クレジットカードやデビットカードなど有効な支払い方法（以下「支払い方法」と呼ぶ）が必要となります。お支払いはTomorrow.io ではなく、ご利用のマーケットプレイスプロバイダーを介して実行されます。お支払いに関するあらゆるお問合せはマーケットプレイスプロバイダー宛てにご連絡願います。お支払いに関連して発生した手数料は全てお客様のご負担となります。
3.2. 購読
購読を選択する場合、マーケットプレイスプロバイダーに対してアプリの購読料（以下「購読料」と呼ぶ）を指定の周期で支払うことを同意したものとみなします。初回の購読料はマーケットプレイスプロバイダーが購読の購入を確認した日付にご指定の支払い方法にて請求されます。その後、購読料と適用される税および手数料は、マーケットプレイスプロバイダーにより、指定の周期に応じ、定期的にご指定の支払い方法にて請求されます。
4. 免責事項
4.1. 性能
当社はアプリが中断やエラーなく運用されること、常に利用が可能であること、誤りや脱漏、障害などが発生しないことを保証するものではありません。上記を制限することなく、Tomorrow.io はお客様の契約違反によって生じた速度低下、障害、その他の故障については一切責任を負いません。
4.2. 責任の所在
お客様は次の事項に対し全責任を負うものとします。(i)アプリの利用によってお客様のとった行動。(ii) アプリによる通知や警告を全て確認し、それを踏まえてどのような行動をとるべきか特定すること。(iii)また、アプリを利用した結果、お客様が適切と判断した行動をとること。当社はお客様のアプリの利用、またアプリに関連してとった行動やそれによって生じた結果について、一切の責任を負いません。
4.3. 当社はアプリの開発に尽力し、アプリによる正確で、信頼性のある、有効で、実用的なデータの提供に努めていますが、アプリの信頼性、有効性、正確性、完全生、またその利用によって期待される成果、結果、その他運用上の利益を一切保証、表明するものではありません。
4.4. アプリは現状のまま提供されるものであり、いかなる保証もいたしません。適用法が容認する範囲で、Tomorrow.io とそのライセンサーは商品性、特定目的に対する適合性、権利侵害をしていないことを含めた一切の保証を放棄いたします。お客様のアプリに関する不満への唯一の権利および救済手段は、速やかにアプリをアンインストールし、利用を中断することです。Tomorrow.io はアプリが継続的に、中断やエラーなく運用することを保証するものではありません。
4.5. Tomorrow.io はシステムやコミュニケーションのエラー、アプリに関連したバグやウィルス、お客様によるデータの喪失、その他お客様の端末への損失や、その利用への損失が発生にも責任を負いません。また、Tomorrow.ioがバックアップネットワークまたはシステム、それに類似したサービスの提供を要求されていない場合を除き、それらのエラー（存在する場合）を解決する権利を留保します。
4.6 ユーザーであるお客様は、アプリが提供する情報の使用に関連するリスク全体を負うものとします。Tomorrow.ioはこのような情報を「現状のまま」提供し、明示または黙示を問わず、商品性または特定の目的への適合性の黙示的な保証を含む（ただしこれに限定されない）あらゆる保証を放棄します。いかなる場合でも、Tomorrow.ioは、このデータの使用または誤用に起因する直接的、間接的、偶発的、結果的、特別または模範的な損害または利益の損失について、お客様または第三者に対して責任を負いません。
5. 賠償責任の制限
Tomorrow.io は本契約に起因または関連してお客様に生じた損失に関して一切の責任を負いません。Tomorrow.ioは利益逸失、データ損失、代用品や代替サービスの購入に係る費用、その他のいかなる理由で生じた特別、付随的、直接的、間接的、派生的な損失、また契約への違反、不法行為（過失責任、無過失責任を含む）、その他いかなる場合においても、Tomorrow.ioが事前にそれらの損失の可能性について知らされていたかどうかに関わらず、一切の責任を負いません。
6. 補償
6.1. (a)お客様による本契約への違反、(b)お客様による重過失または故意の過失のいずれかに起因、または関連して、第三者より苦情、請求、抗弁、要求を受けた場合、お客様は、当社の要求があれば、お客様の費用負担にて、合理的な弁護士費用やその法的手続きに係る経費を含む、あらゆる損害、損失、費用、支払いから当社、当社の取締役、役員、従業員、請負業者を保護する責任があります。
6.2. 当社からお客様へ補償を要求する場合、当社からお客様へ次の行動、支援をいたします。(i) 速やかに補償を求める損害賠償請求の内容を書面で通知、(ii)その請求に対する答弁およびお客様の費用負担での示談交渉への合理的な援助と協力、(iii)その請求への答弁もしくは示談への独占的な管理。ただし、お客様への責任（刑罰、罰金、その他）が生じない場合にのみ、お客様の同意なしに和解に応じることがあります。当社はいかなる損害賠償請求においても、当社の選択した弁護士とともに答弁（または示談交渉）に当社の費用負担にて参加する権利を留保します。
7. 契約期間と契約終了
Tomorrow.ioは本ライセンス契約を理由なく、通知なくいつでも終了することができます。契約終了または有効期限が満了した時点で、お客様はアプリを利用する権利が消失し、所有する全てのアプリの複製を削除しなければなりません。ただし、Tomorrow.ioは「生涯」サブスクリプションを提供する場合があります。これは、お客様がこのライセンス契約に違反した場合にのみ終了する場合があります。 Tomorrow.ioの支配権の変更、実質的にすべての資産または株式の売却、または合併、買収、または同様の取引。 または、アクティベーションから2年後に開始するTomorrow.ioの独自の裁量で。
8. 輸出規制
米国の法律およびアプリを入手した地域の法律の許す範囲外でアプリを利用、輸出、再輸出してはなりません。特に、しかし例外なく、(a)アメリカの禁輸対象国、または(b)米国の財務省の特別指定国リストまたは米国商務省の取引禁止対象リストの個人または事業体へアプリを輸出、再輸出してはなりません。アプリを利用する場合、これらいずれの国やリストにも属していないことを保証、表明したものとみなします。また、核兵器、ミサイル、科学兵器、生物兵器の開発、設計、製造、生産に関する米国の法律にて禁止されているいかなる目的にもアプリを使用しないことに同意したものとみなします。
9. 準拠法・裁判所
本ライセンス契約は排他的にマサチューセッツ州法に従い解釈されるものとし、その抵触する規則を除外するものとします。本ライセンス契約に起因または関連して発生した全ての紛争、論争、請求は、マサチューセッツ州、ボストンの裁判所の管轄に属します。当事者双方は専属管轄権に従うものとし、対人的管轄がないこと、不適切な法定地に対する異議を含め、あらゆる異議申立てを放棄することに同意したものとします。上記にかかわらず、当社はお客様に対して以下を要求することがあります。(a)補償に関する条項に従い、お客様への第三者の損害賠償請求に関する判決裁判所での裁判(b) 暫定、緊急、または差し止めによる救済のためお客様に対する一般的管轄権を持つ裁判所での裁判
10. 一般条項
本契約は当事者間の完全合意を構成します。Tomorrow.ioはお客様への事前の通知なしに本ライセンス契約の規定を修正し、その改訂版をアプリに掲載することがあります。管轄の裁判所が本契約の規定またはその一部が強制不能であると判断した場合、当事者双方の意図する範囲で許される限り最大限の執行を強制されるものであり、契約に記載されるその他の条件は引き続け効力を持つものとします。お客様はTomorrow.ioからの事前の書面での合意なしに本契約を譲渡することはできず、かかる合意なき譲渡は全て無効とします。本契約の規定の違反に対する権利を放棄しても、それ以前、同時期、またはそれ以降の同様の違反、またはその他の規定に対する権利を放棄したものとはみなされません。また、いかなる権利の放棄も権利を放棄する当事者の正当な代表者による書面での通知および署名がなければ効力を持たないものとします。1.2条、 1.3条、 1.4条、 5条、 6条、 9条、10 （またはその性質上存続する必要がある他のセクション） 条は本契約の終了後も存続するものとします。
